These Terms and Conditions of Use ("Terms") constitute a legally binding agreement between you ("User") and Medical Sales College, Med Sales Institute, and their affiliated entities (collectively, "MSC") governing your access to and use of the Medical Sales College Alumni & Industry Community powered by Aluminate (the "Platform"). By creating an account or using the Platform, you agree to these Terms and all incorporated policies.
PART I — FOUNDATION
Definitions, eligibility, accounts, conduct, and incorporated policies
1. Definitions
Account means a registered user profile. Platform means the Aluminate-hosted alumni, student, employer, mentor, and industry community. User means any person accessing the Platform. Community Content means all text, images, resumes, files, messages, job postings, videos, discussions, and other materials submitted through the Platform.
2. Eligibility
Users must be at least eighteen (18) years of age or the age of majority in their jurisdiction, legally capable of entering into a binding agreement, and provide accurate registration information. MSC may verify student, alumni, employer, recruiter, mentor, or instructor status and may deny or revoke access at its discretion.
3. Registration and Verification
Users agree to provide complete and accurate registration information and promptly update any changes. MSC may request documentation to verify educational affiliation, employment, licensure, or professional credentials before granting access to certain Platform features.
4. User Accounts
Users are responsible for safeguarding login credentials and all activity occurring under their account. Accounts are personal, non-transferable, and may not be sold, shared, or duplicated to circumvent Platform restrictions.
5. Professional Conduct
The Platform is intended to support professional networking, mentoring, career development, alumni engagement, and educational collaboration. Users agree to act honestly, respectfully, and professionally.
6. Acceptable Use
Users may not engage in unlawful conduct, harassment, discrimination, impersonation, fraud, spam, phishing, malware distribution, scraping, copyright infringement, unauthorized advertising, disclosure of confidential information, or any activity that interferes with Platform operations or another user’s experience.
7. Community Safety
MSC reserves the right to investigate reports of misconduct, remove content, issue warnings, suspend or terminate accounts, and cooperate with law enforcement where appropriate.
8. Account Security
Users agree to maintain strong passwords, protect account credentials, and promptly report suspected unauthorized access. MSC may require password resets or additional authentication measures to protect Platform integrity.
9. Incorporated Policies
These Terms incorporate by reference the MSC Privacy Policy, Community Standards, Employer Participation Agreement, Event Policies, Copyright Policy, and other Platform policies published by MSC. Violations of those policies constitute violations of these Terms.
10. Changes to the Terms
MSC may revise these Terms from time to time. Material revisions will be communicated through the Platform or by other reasonable electronic notice. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
PART II — CONTENT, COMMUNITY, AND PROFESSIONAL ENGAGEMENT
User content, intellectual property, employers, mentoring, AI, and networking
11. User-Generated Content
Users retain ownership of content they submit to the Platform. By uploading, posting, transmitting, or otherwise making content available, you grant MSC a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, display, distribute, archive, publish, and technically modify such content solely as necessary to operate, secure, administer, improve, and promote the Platform. You represent that you own or possess all rights necessary to grant this license and that your content does not infringe the rights of any third party.
12. Content Standards
All content must be professional, lawful, and respectful. Users shall not post false or misleading information, confidential employer information, protected health information, proprietary educational materials without authorization, defamatory statements, or content that violates another person’s privacy or intellectual property rights. MSC may remove content at its sole discretion.
13. Intellectual Property
MSC retains all rights, title, and interest in its trademarks, logos, trade dress, curriculum, educational materials, videos, graphics, software, and other proprietary content. Except as expressly authorized in writing, no license or ownership interest is granted to Users. Alumni may identify themselves as graduates of MSC but may not imply sponsorship, endorsement, partnership, certification, or agency.
14. Copyright and DMCA
MSC respects intellectual property rights. Copyright owners who believe material on the Platform infringes their rights may submit a written notice identifying the copyrighted work, the allegedly infringing material, contact information, and a statement made under penalty of perjury. MSC may remove allegedly infringing material, notify the affected user, and terminate repeat infringers where appropriate.
15. Artificial Intelligence
Users remain solely responsible for any AI-assisted or AI-generated content they publish. AI-generated content must be accurate, appropriately attributed where necessary, and must not be used to deceive, impersonate another individual, create fraudulent credentials, infringe intellectual property, or disseminate misinformation.
16. Employers and Recruiters
Employers and recruiters agree to post only legitimate employment or internship opportunities, comply with applicable employment laws, avoid discriminatory practices, refrain from harvesting user information, and accurately represent available positions. MSC reserves the right to remove postings or restrict employer access without prior notice.
17. Mentoring
Mentoring relationships are voluntary. Advice provided by mentors represents their individual opinions and experience and does not constitute legal, financial, employment, medical, tax, or professional advice. MSC is not responsible for decisions made based upon mentor communications.
18. Professional Networking
The Platform is intended to facilitate introductions and professional networking. MSC does not guarantee employment, interviews, referrals, contracts, business relationships, admissions decisions, certifications, or any specific professional outcome resulting from Platform participation.
19. Job Board
Job postings are provided as a convenience. MSC does not independently verify every employer, recruiter, compensation statement, or employment opportunity. Users are responsible for conducting appropriate due diligence before accepting employment, sharing personal information, or entering contractual relationships.
20. Third-Party Resources
The Platform may include links to third-party websites, software, educational resources, or services. MSC does not endorse and is not responsible for the availability, accuracy, security, or privacy practices of third-party providers. Accessing third-party resources is at the user’s own risk.
PART III — PLATFORM OPERATIONS, PRIVACY, AND ACCOUNT ADMINISTRATION
Privacy, communications, events, availability, suspension, and termination
21. Privacy and Data Collection
MSC collects, uses, stores, and discloses personal information in accordance with its Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in that policy.
22. Electronic Communications
By creating an account, you consent to receive electronic communications from MSC, including account notices, security alerts, event confirmations, newsletters you elect to receive, platform updates, and legally required notices. Electronic communications satisfy any legal requirement that communications be in writing.
23. SMS Notifications
If you voluntarily provide a mobile telephone number and opt into text messaging, MSC may send transactional reminders regarding events, account activity, or other Platform services. Standard carrier messaging and data rates may apply. You may opt out as described in the message or Platform settings.
24. Profile Visibility and Directory
Certain profile information may be visible to other authorized users based on your account type and privacy settings. You are responsible for maintaining the accuracy of your profile information and determining what optional information you choose to display.
25. Messaging Services
The Platform may provide private messaging and discussion features. Users are responsible for communications they send. MSC may access or preserve communications when reasonably necessary to investigate misconduct, protect the Platform, comply with legal obligations, or respond to lawful requests.
26. Events, Recordings, and Photography
Virtual and in-person events may be recorded, livestreamed, photographed, or otherwise documented. Unless otherwise prohibited by law or specifically stated for a particular event, participation constitutes consent to the use of your name, likeness, voice, or image for educational, promotional, archival, and operational purposes without additional compensation.
27. Platform Availability
MSC may modify, suspend, discontinue, or update any feature of the Platform at any time without liability. While MSC uses commercially reasonable efforts to maintain availability, uninterrupted or error-free operation is not guaranteed.
28. Security
MSC employs reasonable administrative, technical, and physical safeguards to protect Platform information. However, no internet-based service is completely secure, and MSC cannot guarantee absolute security against unauthorized access, cyberattacks, or data breaches.
29. Account Suspension
MSC may temporarily suspend accounts while investigating suspected violations of these Terms, Community Standards, applicable law, or security incidents. Suspension may limit access to some or all Platform functionality.
30. Account Termination
MSC may terminate or permanently disable accounts for repeated violations, fraudulent conduct, misuse of the Platform, unlawful activity, or conduct inconsistent with the mission of the community. Upon termination, licenses granted by MSC cease immediately, while provisions intended to survive termination remain in effect.
31. Data Retention and Deletion
MSC retains information only as long as reasonably necessary for legitimate business, legal, regulatory, educational, or archival purposes. Following account closure, certain information may remain in backups, audit logs, or records required by law.
32. Accessibility and Service Improvements
MSC is committed to improving accessibility and usability of the Platform. Users are encouraged to report accessibility barriers or technical issues. MSC may modify Platform functionality, interfaces, or integrations to improve security, performance, accessibility, or user experience.
PART IV — LEGAL TERMS
Disclaimers, liability, indemnification, dispute resolution, and general provisions
33. Disclaimer of Warranties
The Platform and all related services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, MSC disclaims all express, implied, statutory, and other warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.
34. No Employment or Business Guarantee
MSC facilitates networking and educational opportunities only. MSC does not guarantee employment, interviews, referrals, internships, business relationships, compensation, promotions, certifications, admissions, or any professional outcome resulting from Platform participation.
35. No Professional Advice
Content available through the Platform is provided for informational purposes only and does not constitute legal, financial, tax, medical, employment, or other professional advice. Users should seek qualified professional advice before relying on information obtained through the Platform.
36. Limitation of Liability
To the fullest extent permitted by law, MSC, its affiliates, officers, directors, employees, contractors, volunteers, and licensors shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages, including loss of profits, employment opportunities, contracts, goodwill, business interruption, or data, arising from or relating to the use of the Platform, even if advised of the possibility of such damages.
37. Indemnification
You agree to defend, indemnify, and hold harmless MSC and its affiliates, officers, directors, employees, contractors, volunteers, licensors, and agents from and against any claims, damages, liabilities, losses, costs, or expenses, including reasonable attorneys’ fees, arising from your use of the Platform, your content, your violation of these Terms, or your violation of any law or third-party rights.
38. Dispute Resolution
Before filing a legal action, the parties agree to attempt in good faith to resolve disputes through informal negotiations. If the dispute cannot be resolved, either party may pursue any remedies available under applicable law, subject to this Agreement.
39. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Unless otherwise required by applicable law, any action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Florida. MSC may update this provision based upon advice of legal counsel regarding the appropriate county and venue for its principal place of business.
40. Force Majeure
MSC shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, acts of government, labor disputes, utility failures, internet outages, cyberattacks, epidemics, pandemics, or other force majeure events.
41. Assignment
Users may not assign or transfer their rights or obligations under these Terms without MSC’s prior written consent. MSC may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets.
42. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
43. Waiver
MSC’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
44. Entire Agreement
These Terms, together with the Privacy Policy, Community Standards, and other incorporated policies, constitute the entire agreement between MSC and the User regarding use of the Platform and supersede all prior understandings concerning the Platform.
45. Survival
Provisions concerning intellectual property, user licenses, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and any obligations that by their nature should survive termination shall survive termination of these Terms.
